Sub-module 1: Labour and company law for founders
The aim of this course is to provide students and those interested in founding a company with the essential legal knowledge required for founding and managing a company. In particular, basic aspects of labour and company law will be discussed. In the area of labour law, various options for integrating human resources (e.g. contract for work and services; service contract; employment contract) into a company are first discussed. In particular, new forms of employment will be considered. Finally, the event will look at the possible labour law position of the founder. The second part of the event covers not only the choice of legal form but also the actual start-up process (e.g. business registration, licences) and liability as a company body. The financing of the start-up project is also important, which is why the legal framework conditions for equity, debt and hybrid financing will also be discussed.

Sub-module 2: Legal organisation of company takeovers and participations
Legal aspects are essential for the success of every business start-up and self-employed activity. This also applies to company takeovers and participations. In this lecture, legal principles for the organisation of takeover and investment processes are taught and deepened with the help of practical examples. The focus of the course is particularly on the proper drafting of contracts from the perspective of the "founding" shareholders or company acquirers, taking risk aspects into account.

Sub-module 3: Industrial property rights for founders
The subject of the lecture is the system of industrial property rights and the main features of copyright law from a founder-specific perspective. The law of trade marks (trade mark rights and the law of commercial designations), the law of inventions (patent and utility model law), the law of designs and models (design law), the law on the protection of trade secrets, the relevant main features of copyright law and the use of AI systems in companies and their significance for industrial property rights and copyright law are dealt with. The focus is on the practical development, examination, acquisition, enforcement and utilisation of the respective rights in a national and international context. The use of AI systems in companies and their effects on the respective intellectual property rights are explained through demonstrations of their practical application.
